  • Advisory Disclaimer: Explicit statement that coaching and operational consulting services provide strategic guidance and educational frameworks, not certified CPA tax filing, licensed legal counsel, or guaranteed employment outcomes.

Booking, Payment Terms & Pricing Structure

  • Fee Schedule: Clear terms regarding one-on-one sessions ($35 Single Session), multi-week programs ($130 Momentum, $320 Accelerator), and custom scope proposals (Web Design & Event Management).

  • Payment Processing: Requirements for upfront payment or scheduled milestones via secure merchant gateways prior to session confirmation or project kickoff.

  • Taxes & Invoicing: Client responsibility for applicable local taxes and payment transaction fees.

Cancellation, Rescheduling & Refund Policy

  • Rescheduling Rules: Requirement of at least 24 hours’ prior written notice to reschedule a virtual coaching or consulting session without forfeiting the booking fee.

  • No-Show & Late Policy: Policies governing client lateness (e.g., session ends at scheduled time) and missed appointments without prior notice.

Client Responsibilities & Materials Submission

Intellectual Property & Work Ownership

  • Client Deliverables: Full ownership transfer of customized final deliverables (completed resumes, client-specific SOP documents, custom website files upon full invoice settlement).

  • Proprietary Frameworks: Retention of ownership by the agency over proprietary templates, workshop materials, methodology frameworks, and pre-existing code/design libraries.

Third-Party Platforms, Tools & Permitting

  • Software Subscriptions: Client responsibility for maintaining third-party licenses (e.g., WordPress hosting, domain registrars, payment gateways, CRM tools).

  • Event Permitting & Compliance: Clear division of responsibilities regarding municipal permits, health licenses, and insurance policies for event and concession coordination.

Limitation of Liability & Warranties

  • “As-Is” Provision: Disclaimer stating services and strategic advice are delivered without express or implied guarantees of specific revenue growth, job placement, or search engine ranking positions.

  • Cap on Liability: Maximum liability capped at the total amount paid by the client for the specific service in dispute.
